Annual Meeting Minutes June 4, 2022

Quorum reached with- 20 owners present; 15 proxies = 35 total

Board members present:Dmitri Zhivotovsky, Tim Matyuf, Svend Filby, David Almstrom.

Absent due to illness:Secretary Steve Wilson.

Invited by the entire Board to assist with the meeting:Bob Giuda as moderator of meeting;Robert Ducharme as Gilford Yacht Club Attorney; Dave Johnson as past Gilford Yacht Club manager.

Gilford Yacht Club Members present:George Dascoulias, Bob and Stephanie Kokko, Maureen Matyuf, Richard Bono, Tom and Amy Auletto, Cheryl Sanderson, Derek Tomlinson, Dean Young, Chuck Healey, Michelle Milette

The meeting was called to order at 10:00am on Saturday, June 4, 2022, by moderator Bob Giuda.

A quorum was met with 35 members and proxies.

The June 2021 Gilford Yacht Club Annual Meeting minutes were taken but were not made available to the Board of Directors by the recording secretary.Amy Auletto had taken her own notes as a slip owner and offered to make those available to the Board of Directors.The motion to accept the 2021 meeting notes was tabled.

Financial Report

Svend Filby, Gilford Yacht Club Treasurer, presented the Financial Report.

Svend Filby reported a person was hired to do a Capital Reserve Study.The goal of the Capital Reserve is to decrease the need for special assessments in future years and to avoid the need for loans and interest. The Board of Directors will review and plan how to fund the capital reserve with Gilford Yacht Club owners at an August meeting.

Svend Filby presented the 2022 Gilford Yacht Club budget.From this the dues was set at $1,000.00 per slip by the Board of Directors for operating expenses.An estimated additional $400.00 per slip was suggested.The additional money would be broken down as follows:$200 to the Capital Reserve and $200 to Capital Improvements.The Board of Directors will look at the new study when it is available.

Svend Filby stated that a transfer fee of $250 (1/4 of the yearly assessment dues) is due at the time of slip sales per condo laws.

Svend Filby said the ice machine will be managed this year by Greg Gunski.Greg will collect money for ice from club members who buy ice and Greg will pay the ice company.

It was reported that Rory (last name?) collected for ice but did not pay the ice company in 2021.Mike Carvelle paid $300 and GYC paid $553.20 to the ice company to keep the club in good standing with the ice company.

Washing machine money is to be collected and given to our book keeper Lindsay Carlson for deposit

Boats at GYC with air conditioners will be charged $100 per air pump.This fee will be collected by Dave Johnson at time of launch.

In reference to the budget, Richard Bono said there wasn’t enough money collected for boat launches.Dave Johnson said there were more small boats launched this year resulting in a smaller amount collected in launch fees.

The Board of Directors decided that launch fees will go into the general fund.

Robert Ducharme, GYC lawyer, said the income generated from the lift is equal for all members.

Robert Ducharme suggested to ratify the budget as proposed by the Board of Directors.

Send Filby spoke about an audit of the Gilford Yacht Club financials.Svend said John Libby, our tax accountant, said that the profits and losses is what should be looked at because an audit would cost $12,000.It was stated that Lindsay Carlson is our bookkeeper.

Robert Ducharme said the financial situation will be discussed at the August meeting and an assessment may be done in August if necessary.

Item on agenda 3.4 motion to move $64,000.The opinion of Robert Ducharme was for the Board of Directors to put $64,000. into long-term capital reserve as a separate account from the operating account.Robert stated that the new fence is a capital expense.Robert also stated that these funds need to be tweaked yearly.

Old Business

Svend Filby said we have had problems with property managers in the past three years.He said Dave Johnson is helping now.We need to plan for next year.Robert Ducharme said this should be on the Board agenda and suggested to start looking in July 2022 for next year.

Svend Filby said there is now an outside cleaning company.

Svend Filby reported that Taylor Fence Company was starting construction of the black chain link fence on 6/4/22.A 24 foot gate will also be installed.Permits for the new fence are in place from the Town of Gilford.

Neighbors have the code to the bathrooms.The code will be changed now.Please to not share the code with non-members.

Parking and trailer storage stickers are now in use.A suggestion was made that the Board consider charging for trailer storage.

    1. Bathhouse renovations.
  1. A new waterproof floor
  2. Outside siding
  3. Check on the structure

Contractors have provided high price quotes and won’t say when the work will be done.Svend said we want the bathhouse to look nice, similar to the clubhouse.

The Board of Directors will review the following:

    1. Launch and take out fees and electrical charges. Tommy Auletto said he had an electric study for the Board of Directors to review.
    2. Slip owner members agreed that the new cleaning service is doing a good job on the clubhouse and bathhouse.Richard Bono said we need more toilet paper, a toilet brush and a mop.

The last order of business was election of 2 board members.

  1. Steve Wilson for 2 years.
  2. Tim Matyuf for 3 years.

There were no other nominations from the floor.

There were no descending votes.

Passed 33-0.

Meeting adjourned at 12:20pm.
